Welcome to MnemioAI ("Mnemio", "we", "us", or "our"). These Terms of Service ("Terms") govern your access to and use of the MnemioAI platform, websites, and services (collectively, the "Service"), available at mnemioai.com. By creating an account or using the Service, you agree to be bound by these Terms. If you use the Service on behalf of an organization, you confirm that you are authorized to accept these Terms for it. If you do not agree, please do not use the Service.
The Service
- Mnemio agents. Mnemio gives each person in your organization an AI agent. Agents work inside the tools you connect (such as Gmail, Slack, Google Drive, Google Calendar, Notion, and WhatsApp), learn how each person works, and can save shared knowledge to your organization's company memory. Agents in the same organization can request information from each other, subject to the owner's approval.
Accounts and Organizations
- You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Service.
- Organization administrators decide who gets an agent, which tools are connected, and how company memory is managed. They are responsible for having the right to connect those tools and to share that information with Mnemio.
- You are responsible for keeping your account credentials confidential and for all activity that occurs under your account.
- You must provide accurate information and keep it up to date, and notify us promptly through our contact page if you suspect unauthorized use of your account.
Agents, Approvals, and Your Control
- Agents find information, prepare drafts, and suggest actions. You remain responsible for reviewing their work and for what you send, file, sign, or publish.
- When one agent requests information that belongs to another person, the owner is asked to approve or decline. Owners are responsible for the approvals they give.
- Items become part of company memory when a person chooses to share them or when your organization adds them. Your organization controls who can access company memory.
- When a person leaves an organization, the organization may direct that their work-related agent memory is transferred to the person who takes over. Personal memory is not transferred to anyone else.
Plans, Payments, and Billing
- Mnemio agents are offered on plans agreed with your organization, as set out in your order form or agreement.
- Payments are processed by our payment partners. By making a payment you also agree to their terms of service.
- Applicable taxes (such as GST in India or VAT in the UAE) may be added to invoices.
- We may change pricing for future billing periods. Material changes will be communicated in advance where reasonably possible.
Your Content
- You and your organization retain ownership of the data, files, messages, and prompts you provide or connect ("Your Content"), and of agent and company memory built from it, to the extent permitted by applicable law.
- You grant us a limited license to host, process, and display Your Content solely to operate and improve the Service. We do not use your private workspace content to train our own models.
- You are responsible for Your Content, including its compliance with applicable laws and third-party rights.
Acceptable Use
You agree not to use the Service to:
- Send, store, or distribute content that is illegal, infringing, deceptive, defamatory, or harmful, including malware, phishing, or spam.
- Connect tools or access information you are not authorized to use, or use an agent to monitor people without a lawful basis.
- Violate the privacy, intellectual property, or other rights of any person or entity.
- Probe, scan, overload, or disrupt the Service or its infrastructure, or attempt to gain unauthorized access to other users' or organizations' data.
- Resell or sublicense the Service without our prior written consent.
We may suspend or remove accounts or agents that violate these Terms.
AI-Generated Output
The Service uses artificial intelligence. Answers and drafts may contain errors, may be incomplete, and may be similar to output generated for others. Review agent output before relying on it, especially for financial, legal, compliance, or other business-critical decisions.
Third-Party Services
The Service interoperates with third-party services that you or your organization connect, such as email, chat, file storage, calendar, and messaging services, as well as payment and hosting providers. Your use of those services is governed by their own terms, and we are not responsible for them.
Availability and Changes
We strive to keep the Service available but do not guarantee uninterrupted operation. We may modify, suspend, or discontinue any part of the Service at any time. We may also impose usage limits to protect the platform and its users.
Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law.
Limitation of Liability
To the maximum extent permitted by law, MnemioAI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Service. Our aggregate liability for all claims relating to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.
Termination
You or your organization may stop using the Service at any time. We may suspend or terminate access if these Terms are breached or if required by law. On termination, the right to use the Service ends, and your organization may ask us to export or delete its workspace data. Provisions that by their nature should survive (such as ownership, disclaimers, and limitations of liability) will survive.
Governing Law
These Terms are governed by the laws of India, without regard to conflict-of-law principles. Courts located in India shall have exclusive jurisdiction over disputes arising from these Terms or the Service, subject to any mandatory consumer protections in your place of residence.
Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will provide notice through the Service or by email. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
